End-User License Agreement (EULA) – Power BI Visuals

This End-User License Agreement (“Agreement”) governs the use of the Power BI Visuals provided by LeapLytics GmbH, Teutonenweg 18, 63128 Dietzenbach, Germany (“Provider”). By downloading, installing, or using the Visuals, you (“Licensee”) agree to be legally bound by this Agreement and the Provider’s General Terms and Conditions (“GTC”).

1. License Grant

Subject to full compliance with this Agreement and the GTC, LeapLytics GmbH grants Licensee a limited, non-exclusive, non-transferable, non-sublicensable right to install and use the Power BI Visuals (including but not limited to the “Risk Matrix” and “Traffic Light” visuals):

  • Solely for internal business purposes,
  • Limited to the legal entity (or group, if a group license is purchased) named at the time of licensing,
  • For the agreed contractual period.

2. License Restrictions

Licensee shall not:

  • Share, sublicense, resell, distribute, or otherwise make the Visuals available to third parties outside the licensed organization.
  • Decompile, reverse engineer, disassemble, or modify the Visuals.
  • Create derivative works or develop competing products using the Visuals.
  • Use the Visuals in any unlawful manner or in violation of applicable export laws and regulations.

All rights not explicitly granted are reserved by the Provider.

3. Ownership and Intellectual Property

LeapLytics GmbH and its licensors retain all rights, title, and interest in and to the Visuals, including all intellectual property rights, updates, enhancements, and any improvements suggested by Licensee. Any copies made for internal purposes remain subject to this EULA.

4. Usage and Compliance

Licensee agrees to:

  • Use the Visuals only for internal company use.
  • Provide truthful, updated information about the use and number of legal entities or servers, including documentation (e.g., screenshots) when requested by the Provider (per § 3 GTC).
  • Cooperate in any license verification or audit.

If used for external publications, marketing, or sales demonstrations, prior written consent from the Provider is required. The Provider reserves the right to charge an additional fee in such cases (§ 7 GTC).

5. Support, Updates, and Trial Use

Unless otherwise agreed in writing:

  • Support and updates are provided at the Provider’s discretion (§ 1 GTC).
  • Free trial versions may include limited access and may not be used for commercial purposes (§ 1(5) GTC).
  • Trial access may be revoked or modified at any time.

6. Warranty and Disclaimer

The Visuals are provided “as is”. LeapLytics GmbH disclaims all warranties to the fullest extent permitted by law, including but not limited to merchantability, fitness for a particular purpose, and uninterrupted or error-free operation.

Warranty claims are governed by § 9 GTC and expire after two years (or one year if Licensee is a merchant).

7. Limitation of Liability

To the maximum extent permitted by law:

  • LeapLytics GmbH’s total liability shall not exceed €500 (§ 10 GTC).
  • The Provider is not liable for indirect, incidental, or consequential damages such as loss of data or profits.
  • Liability is not excluded in cases of injury to life or health.

8. Term and Termination

This Agreement becomes effective upon use of the Visuals and remains valid for the licensed term.

  • The Provider may terminate the license immediately if the Licensee breaches this Agreement or the GTC.
  • Upon termination, all use of the Visuals must cease, and all copies must be deleted.
  • Termination rights are further governed by § 11 GTC.

9. Governing Law and Jurisdiction

This Agreement and any disputes arising from it are subject to the laws of the Federal Republic of Germany, excluding its conflict of law rules and the UN Convention on Contracts for the International Sale of Goods (§ 13 GTC). xclusive jurisdiction shall rest with the courts of Germany, unless otherwise agreed.

10. Final Provisions

  • This Agreement, along with the GTC, constitutes the entire agreement between Licensee and Provider with respect to the Visuals.
  • If any provision is held unenforceable, the remaining provisions shall remain in effect.
  • No failure or delay by the Provider in enforcing any right shall constitute a waiver.

By installing or using the Power BI Visuals, you confirm that you have read, understood, and agreed to this EULA and the General Terms and Conditions.
